1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and AccessPadi ("Company," "we," "us," or "our") concerning your access to and use of our estate management platform and services.

By accessing or using our platform, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the platform.

2. User Accounts

Account Registration

To use certain features of our platform, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

Account Types

We offer different account types with varying access levels:

• Resident Accounts: Access to visitor management, complaints, maintenance tickets, and announcements
• Admin Accounts: Full access to estate management features, user management, and administrative controls
• Maintainer Accounts: Access to maintenance tickets and work order management

3. Acceptable Use

You agree not to use the platform to:

• Violate any laws, regulations, or third-party rights
• Engage in any harassing, threatening, or abusive behavior
• Upload or transmit viruses, malware, or malicious code
• Attempt to gain unauthorized access to any systems or data
• Interfere with or disrupt the platform's operation
• Impersonate any person or entity
• Collect or harvest information about other users
• Use automated systems to access the platform without permission
• Submit false or misleading information
• Use the platform for any commercial purpose without authorization

4. Content and Intellectual Property

Your Content

You retain ownership of any content you submit to the platform ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your content solely for the purpose of providing and improving our services.

You represent and warrant that:

• You own or have the necessary rights to your User Content
• Your content does not violate any third-party rights
• Your content complies with these Terms and applicable laws

Our Intellectual Property

The platform and its original content, features, and functionality are owned by AccessPadi and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our platform without our express written permission.

5. Service Features

Visitor Management

Residents can register visitors, generate access codes, and manage guest access. Estate administrators maintain the right to deny access to any visitor for security or other valid reasons.

Complaints and Maintenance

Users can submit complaints and maintenance requests through the platform. We do not guarantee response times or resolution, as these are managed by estate administrators and maintenance personnel.

Announcements

Administrators can send announcements to residents. By using the platform, you consent to receive such communications related to estate operations.

6. Privacy and Data Protection

Your use of the platform is also governed by our Privacy Policy. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.

7. Payment Terms

If you subscribe to paid features or services:

• You agree to pay all applicable fees as described at the time of purchase
• All fees are non-refundable unless otherwise stated
• We reserve the right to modify pricing with 30 days' notice
• Failure to pay may result in suspension or termination of your account
• You are responsible for all taxes associated with your purchase

8. Disclaimers and Limitations

Service "As Is"

The platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the platform will be uninterrupted, error-free, or secure.

Limitation of Liability

To the maximum extent permitted by law, AccessPadi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the platform.

9. Indemnification

You agree to indemnify, defend, and hold harmless AccessPadi, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the platform, violation of these Terms, or infringement of any third-party rights.

10. Termination

We reserve the right to suspend or terminate your account and access to the platform at any time, with or without cause, and with or without notice, including for:

• Violation of these Terms
• Fraudulent or illegal activities
• Extended period of inactivity
• At your request
• For any other reason at our sole discretion

Upon termination, your right to use the platform will immediately cease. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on the platform and updating the "Last updated" date. Your continued use of the platform after such changes constitutes your acceptance of the new Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which AccessPadi operates, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the platform shall be resolved through binding arbitration in accordance with the rules of the arbitration association in our jurisdiction, except where prohibited by law.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the platform, constitute the entire agreement between you and AccessPadi concerning your use of the platform.
